Securities law in New Zealand is currently undergoing a period of significant reform.
The existing regime was introduced with the passage of the Securities Act 1978 (the “Securities Act” or the “Act”), in response to several high-profile corporate collapses, including JBL (1972) and Securitibank (1976). The basic principle, expanded on over time, was that an investor should receive a registered prospectus containing all material information about a company that was trying to raise capital from the public.
